By accessing or using this website, you agree to these Terms and Conditions. We created these rules to protect you and to keep GrapeCity's Website(s) safe for everybody. By agreeing to these terms, you take responsibility for your own actions. If you do not agree, please do not access or use this site.
The BuildNinja EULA also applies once you install and start using the BuildNinja Software. If you make a purchase or otherwise use kenzoAI, the kenzoAI Terms apply as well, together with our Refund & Cancellation Policy for any kenzoAI Credit purchases. If these documents conflict, the EULA governs Software licensing and the kenzoAI Terms govern kenzoAI.
1. Legal Notice and Disclaimer
GrapeCity obtains the information, downloadable files, and software on this site (together, "Site Content") from sources it believes to be accurate and reliable. Because human and mechanical errors can happen, GrapeCity is not responsible for errors or omissions in the Site Content. GrapeCity makes no representations and expressly disclaims all responsibility for the suitability of the Site Content for any purpose. GrapeCity may change the Site Content at any time without notice. The Site Content is provided "as is," without warranties of any kind, express or implied.
GrapeCity expressly disclaims all warranties for the Site Content, including the implied warranties of merchantability and fitness for a particular purpose. GrapeCity is not liable, under any theory of contract, negligence, or other tort, for special, incidental, indirect, consequential, or punitive damages arising from the accuracy, use, or performance of the Site Content, including loss of use, lost data, or lost profits or opportunity. If any clause, or part of a clause, is held invalid, it is severable and does not affect the rest of the clause. These terms may only be amended in writing, signed by GrapeCity's authorized representatives, and are governed by the laws of India.
2. Links to Third-Party Sites
Links on this Website may take you to third-party sites that GrapeCity does not control. GrapeCity is not responsible for the content of any linked site, or of any link contained in a linked site. These links are provided only as a convenience, and including a link does not mean GrapeCity endorses the linked site.
3. Reservation of Rights
These Terms and Conditions govern your use of GrapeCity's site and all related services. GrapeCity is not liable to you for any breach of these Terms and Conditions and bears no fiduciary responsibility to any user of this Website. If you do not agree to these terms, please do not register at GrapeCity's site. We may update these Terms and Conditions from time to time, and the current version will always be posted on the site; please check back periodically for changes. If you do not agree to a change, you should stop using GrapeCity's site and tell us you do not accept it. Continuing to use the site after a change means you accept it.
From time to time, GrapeCity may add Additional Terms that apply to specific content or events. These will be posted alongside the relevant content and are incorporated into these Terms and Conditions by reference. The BuildNinja EULA and the kenzoAI Terms are examples of such Additional Terms, specific to the Software and to kenzoAI respectively.
4. Collection of Personal Information
Some activities on this site, such as ordering products, downloading software, or entering contests, require you to submit information through an online form. Taking part in these activities is entirely optional. If you choose to, GrapeCity may ask for your name, mailing address, e-mail address, and other identifying information, and, for orders, your payment details at checkout. Payments are processed by Razorpay, our only payment gateway, and we do not store your card details. In some countries, an exclusive reseller handles marketing, sales, and support on GrapeCity's behalf; if you are in one of those countries, GrapeCity may forward your customer profile to that reseller for those purposes. We will not lease, sell, or rent your personal information to third parties, except where necessary to comply with the law, a police investigation, or legal proceedings. We occasionally give bonded mailing houses access to database information solely to print mailing labels for our own direct-mail and promotional purposes; in those cases, the mailing house is bound by these same terms. All information we collect is protected in accordance with the Information Technology Act, 2000 (India), as applicable.
We use this information to support the activities you choose. For example, if you order a product, we use it to register your license and any rights to upgrade discounts, technical support, or other benefits available to registered users; if you enter a contest, we use it to qualify your entry and contact you about the contest or any prize. With your consent, we also use it to keep you informed about product upgrades, special offers, and other GrapeCity products and services. If GrapeCity sells or transfers a material portion of its business or assets, your name, address, email address, member name, and other personal information may be transferred as part of that transaction.
We will not use your personally identifying information for editorial purposes unless you agree in writing. With your consent, we may use it for GrapeCity promotions and marketing. We take the responsible use of your information seriously and understand that not everyone wants special offers or product information.
If you would like your name removed from GrapeCity's lists, or want to unsubscribe from our e-mail bulletins, please contact our Data Protection Officer at dpo.india@grapecity.com.

5. Member Account, Password, and Security
If a Service requires an account, you must complete registration with current, complete, and accurate information, and choose a password and username. You are responsible for keeping your password and account confidential, and for all activity under your account. Notify GrapeCity immediately of any unauthorized use of your account or other security breach. GrapeCity is not liable for losses arising from someone else using your password or account, but you may be held liable for losses GrapeCity or another party incurs because someone else used your account or password. Do not use another person's account without that person's permission.
GrapeHub MyAccount (myaccount.grapehub.io) lets you sign in with your Google account, and the same GrapeHub account signs you in to other GrapeCity apps, including DevPortal, DOJO and the Marketing Portal. You are responsible for keeping your Google and GrapeHub credentials secure and your billing and tax details accurate and up to date. If you hold a company account, you must have a lawful basis to enter the details of colleagues or other users, and you must remove users who leave.
6. Use of Cookies
You can browse this website anonymously and access most information without revealing your identity. We use "cookies" to keep the site working and, only if you choose analytics, to analyze and improve it. A cookie is a small piece of data sent to your browser by our Web server; it can only be read by the server that issued it, and it cannot run as code or carry a virus. Most browsers accept cookies by default, but you can set yours to notify you when a cookie arrives so you can decide whether to accept it. Our Web servers also log your computer's IP address automatically. Optional analytics cookies are used only if you accept them in Privacy settings.
GrapeCity is not responsible for the content or privacy practices of third-party websites that GrapeCity's site may link to. If you have further questions, contact our Data Protection Officer at dpo.india@grapecity.com.

7. Content of Messages
Do not use GrapeCity's site to send or post any message or material that is unlawful, harassing, libelous, defamatory, abusive, threatening, harmful, vulgar, obscene, profane, sexually oriented, racially offensive, inaccurate, or otherwise objectionable, or that encourages a criminal offense, civil liability, use of controlled substances, or any other violation of applicable law. GrapeCity may delete any such material. Any cooperation with law enforcement, including disclosure of user information, is subject to applicable law and valid legal requests, as described in our Privacy Policy and kenzoAI Data Policy. This Section applies equally to content submitted to kenzoAI; see also the kenzoAI Terms, Section 4, for the specific restrictions on kenzoAI content.
Do not use GrapeCity's site to distribute or send illegal material of any kind, including text, graphics, video, programs, or audio files, and do not use it to participate in any discussion intended to further illegal activity.
Content on GrapeCity's site is protected by copyright, trademark, and other intellectual property rights ("Rights"), enforceable across all media and technologies, now existing or developed later. Except where these Terms and Conditions expressly say otherwise, your use of that content is governed by these Terms and by applicable copyright, trademark, and other law. You may not copy, reproduce, retransmit, distribute, publish, commercially exploit, or otherwise transfer any content subject to the Rights. It is your responsibility to determine whether the Rights protect a given piece of content; downloading it does not give you any of those Rights.
When you submit content, including your member name, to any public area of GrapeCity's site (message boards, contests, or chat rooms), you grant GrapeCity and its affiliates a royalty-free, fully paid-up, perpetual, irrevocable, non-exclusive, worldwide license (including any moral rights) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate, perform, and display that content, in any form or technology now known or later developed, for as long as any rights in it exist. You warrant that any Rights-holder, including any moral rights holder, has fully and irrevocably waived those rights or granted you the right to grant this license. You also allow other users to access, view, store, and reproduce your content for personal use. Subject to this license, you retain any Rights you hold in your own content. This public-area content license does not apply to private requests, prompts or other content submitted to kenzoAI or Dojo, or to the corresponding AI Output. Such content is governed by the kenzoAI Terms and kenzoAI Data Policy.
8. Links to Other Grapecity Services
This site may include routing icons that let you access other services from GrapeCity or its affiliates at no extra charge. Your use of those services is governed by the agreements and policies that apply to them.
9. Third-Party Services
Wherever GrapeCity or a third party holds your Personal Information on GrapeCity's behalf, we use reasonable safeguards, such as encryption and firewalls, to protect it from loss, misuse, or unauthorized access.
GrapeHub MyAccount uses two third-party services. Google signs you in when you choose sign-in with Google, and is an independent controller of your Google account data under its own privacy policy. Razorpay, our only payment gateway, processes payments for paid plans on our behalf, and is an independent controller for its own regulatory records (KYC, RBI and fraud prevention).
10. Disclaimer of Warranties
You use GrapeCity's site entirely at your own risk. The site is provided on an "as is" and "as available" basis, with no warranties of any kind, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. GrapeCity does not warrant that the site will meet your requirements or be uninterrupted, timely, secure, or error-free, and makes no warranty as to any results from using the site. GrapeCity is not liable for any direct, consequential, or incidental damages, whether foreseeable or not, arising from the site's unavailability or malfunction.
Any material or data you download or otherwise obtain through the site is at your own risk, and you are solely responsible for any resulting damage to your computer system or loss of data. This includes any AI Output obtained through kenzoAI, which is also subject to the AI Output disclaimer in the kenzoAI Terms.
GrapeCity does not guarantee the accuracy or completeness of any information provided on or through its site, and is not responsible for any errors, omissions, or results from using that information. Neither GrapeCity nor its members, while participating on the site, are providing legal, business, investment, counseling, or other advisory services; seek appropriate professional advice for your own situation. GrapeCity is not responsible for any loss or damage caused, or alleged to be caused, by information or ideas on the site. Your participation is entirely at your own risk, and no advice or information you obtain from GrapeCity, whether oral or written, creates any warranty not expressly stated here.
GrapeCity makes no warranty regarding any goods or services purchased or obtained through its site, or any transaction entered into through it.
GrapeCity is not responsible for content hosted outside its own site. As a convenience, GrapeCity may link to third-party sites and resources beyond its control, and makes no representations about their quality, suitability, functionality, or legality. You waive any claim against GrapeCity relating to those sites.
11. Limitation of Liability
GrapeCity is not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of, or inability to use, its site; from the cost of procuring substitute goods or services; from any goods, services, messages, or transactions obtained through the site; or from unauthorized access to, or alteration of, your transmissions or data. This includes, without limitation, damages for lost profits, use, data, or other intangibles, even if GrapeCity has been advised such damages were possible.
12. Promotional Messages
GrapeCity may occasionally send you e-mail messages containing advertisements or promotions. GrapeCity makes no representation or warranty about the content of those messages, or about any goods or services obtained from GrapeCity, and is not liable to you in connection with any of the foregoing.
13. Indemnification
You agree to indemnify and hold harmless GrapeCity, and its officers, employees, parent companies, subsidiaries, and affiliates, from any third-party claim or demand, including reasonable attorneys' fees, arising from your use of GrapeCity's site, your violation of these Terms and Conditions, or your infringement (or that of anyone else using your account) of another person's or entity's intellectual property or other rights.
14. Applicable Law
These Terms and Conditions are governed by the laws of India, without regard to conflict-of-laws rules. The sole jurisdiction and venue for any dispute is the Indian courts with jurisdiction over GrapeCity's principal place of business. The prevailing party in any action to enforce this Agreement is entitled to recover its costs and attorneys' fees.
15. Remedies for Breach
If GrapeCity determines, at its sole discretion, that you have breached these Terms and Conditions or otherwise behaved inappropriately on its site, GrapeCity may (i) warn you by e-mail; (ii) delete content provided by you or your agent(s); (iii) delete all content you have provided; (iv) end your registration with GrapeCity's site or any other GrapeCity community; (v) notify or cooperate fully with law enforcement; and/or (vi) take any other action it deems appropriate.
16. Miscellaneous Information
If any provision of these Terms and Conditions conflicts with applicable law, or is held invalid by a court with jurisdiction over the parties, that provision will be restated to reflect the parties' original intent as closely as the law allows, and the rest of these Terms and Conditions remain in full force and effect.
If either party does not insist on strict performance of a provision, or does not exercise a right under these Terms and Conditions, that is not a waiver of the right to do so later.
GrapeCity may assign its rights and obligations under these Terms and Conditions without notice; doing so may relieve GrapeCity of further obligations under them.
By registering, you confirm you have the authority to do so under these Terms and Conditions. These Terms and Conditions, together with any Additional Terms, form the entire agreement between the parties on this subject and supersede all prior agreements and understandings. If any provision is legally unenforceable, GrapeCity may delete or modify it to fix the defect; the rest of these Terms and Conditions remain valid and enforceable.
GrapeCity may charge fees, surcharges, or membership fees at any time without notice. Fees specific to kenzoAI Credit purchases are instead governed by the kenzoAI Terms and the published Pricing page, and will not change without notice for credits already purchased, as described there.
